1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CertiGuard ("Company," "we," "us," or "our") governing your access to and use of the CertiGuard platform, including our website, applications, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
CertiGuard provides a software platform designed to help general contractors track and manage certificates of insurance (COI) from subcontractors. The Service includes:
- Document storage and organization
- Automated expiration reminders and notifications
- AI-powered certificate data extraction
- Dashboard and reporting tools
⚠️3. No Legal or Insurance Advice
IMPORTANT: CertiGuard is a software tool for organizing and tracking certificates of insurance. We do NOT:
- Provide legal advice or legal services
- Provide insurance advice or insurance brokerage services
- Determine insurance requirements or adequacy of coverage
- Interpret insurance policies or contract terms
- Guarantee compliance with any laws, regulations, or contractual obligations
- Replace professional legal or insurance counsel
You are solely responsible for: (a) determining appropriate insurance requirements for your projects; (b) verifying the adequacy and accuracy of insurance coverage; (c) ensuring compliance with all applicable laws, regulations, and contractual obligations; and (d) consulting with qualified legal and insurance professionals.
🚫4. No Guarantee of Compliance
USE OF CertiGuard DOES NOT GUARANTEE COMPLIANCE WITH:
- Federal, state, or local laws or regulations
- OSHA or other safety requirements
- Contract terms with project owners, developers, or other parties
- Lender or bonding company requirements
- Industry standards or best practices
The Service is a tracking tool only. It does not verify the authenticity, accuracy, or adequacy of certificates of insurance. It does not confirm that insurance policies are in force, that premiums are paid, or that coverage is sufficient for your needs.
🛡️5. Insurance and Contractual Protection
Critical Understanding: Tracking insurance certificates is NOT a substitute for:
- Proper Insurance Coverage: You must maintain your own adequate insurance (general liability, workers' compensation, etc.) as required by law and contract.
- Written Contracts: You must have written subcontractor agreements that clearly define insurance requirements, indemnification, additional insured provisions, and other protections.
- Contract Review: You should have qualified legal counsel review your subcontractor agreements and insurance requirements.
- Certificate Verification: You should verify certificates with insurance carriers or brokers when warranted.
INSURANCE ALONE IS NOT ENOUGH. Proper contractual protections, including but not limited to indemnification clauses, additional insured endorsements, waiver of subrogation, and clearly defined insurance requirements, are essential components of risk management. CertiGuard helps you track certificates; it does not create or enforce these legal protections.
6. AI Data Extraction - Accuracy Not Guaranteed
CertiGuard uses artificial intelligence to extract data from uploaded certificates of insurance. While we strive for accuracy:
- AI extraction may produce errors, omissions, or inaccuracies
- You are responsible for reviewing and verifying all extracted data
- You should not rely solely on AI-extracted information
- We recommend manual verification of critical information
We make no warranties regarding the accuracy, completeness, or reliability of AI-extracted data.
7. User Responsibilities
You agree to:
- Provide accurate and complete information when using the Service
- Maintain the security and confidentiality of your account credentials
- Review and verify all information stored in or extracted by the Service
- Comply with all applicable laws and regulations
- Use the Service only for lawful purposes
- Not attempt to reverse engineer, decompile, or hack the Service
- Not upload malicious software, viruses, or harmful code
8. Accounts and Billing
Account Creation: You must provide accurate information when creating an account. You are responsible for maintaining account security.
Subscription Fees: Subscription fees are charged in advance on a recurring basis. You authorize us to charge your payment method on file.
Free Trial: If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid charges.
Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds for partial periods.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CertiGuard, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM YOUR RELIANCE ON THE SERVICE
- ANY CLAIMS ARISING FROM INSURANCE DISPUTES, CONTRACT DISPUTES, OR LEGAL PROCEEDINGS
- ANY DAMAGES RESULTING FROM ERRORS, OMISSIONS, OR INACCURACIES IN THE SERVICE
- ANY CLAIMS RELATED TO SUBCONTRACTOR PERFORMANCE, INSURANCE COVERAGE, OR COMPLIANCE
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS LESS.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Any errors or defects will be corrected
- The Service will meet your specific requirements
11. Indemnification
You agree to indemnify, defend, and hold harmless CertiGuard, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any third-party rights
- Insurance disputes or claims involving your subcontractors
- Construction defects, injuries, or property damage on your projects
12. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You are responsible for ensuring you have the right to upload and share any documents or data with the Service.
Data Backup: You are responsible for maintaining your own backups of important data. We are not responsible for data loss.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:
- Your right to use the Service immediately ceases
- You remain responsible for all fees incurred prior to termination
- We may delete your data after a reasonable period
- You may request a data export before account closure
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Alaska, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Palmer, Alaska, except that either party may seek injunctive relief in court.

BY USING CertiGuard, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. YOU SPECIFICALLY ACKNOWLEDGE THAT:
- CertiGuard does not provide legal or insurance advice
- Use of CertiGuard does not guarantee compliance with any laws or contracts
- Proper insurance and written contracts are essential protections
- You are responsible for verifying all information and consulting professionals
- Our liability is strictly limited as set forth in these Terms
